The good news is that a business is not permanently limited to the activities selected on its first day.

 

Can a company change business activity in Saudi Arabia?

Yes. A Saudi company can generally add, remove or change business activity in Saudi Arabia after incorporation. This is normally completed by amending the company’s Commercial Registration, commonly known as the CR.

The amendment is subject to the conditions attached to the new activity. Some activities can be added directly, while regulated activities require a licence or preliminary approval from the responsible government authority.For a foreign-owned company, the proposed activity must also be permitted under its Ministry of Investment registration. MISA provides a specific service through which registered foreign establishments can add, modify or delete economic activities.

 

What should a company check before adding a new activity?

  • The company’s Commercial Registration must be active.
  • The new activity must fall within the company’s approved objectives.
  • A valid licence is required when the activity requires approval before it can be added.
  • A licence-cancellation statement may be required when removing a regulated activity.
  • The company must declare whether it conducts e-commerce.

This means that adding a CR activity is not always a simple administrative update. The company may need to amend its Articles of Association if the new activity falls outside its existing objectives.

 

How can a company add activity to commercial registration Saudi Arabia?

  1. Identify the exact activity and its official classification.
  2. Check whether it is open, restricted or regulated.
  3. Obtain any preliminary approval or sector-specific Business license.
  4. Amend the company’s objectives or Articles of Association when necessary.
  5. Update the investment registration first, where applicable.
  6. Submit the Commercial Registration amendment.
  7. Update related municipal, tax, labour and operational records.

 

Do Foreign Companies Need MISA Approval?

Yes. A foreign-owned company must ensure that any new activity is covered by its MISA investment registration.Before updating the Commercial Registration, the company may need to add or amend the activity through MISA. The investment registration, company objectives and CR should all show matching activities. Restricted sectors may also require approval from the relevant authority.

 

Does every new activity require a separate Business license?

No. The Commercial Registration identifies the activities a company is authorised to undertake, but it does not replace every operational licence. Many ordinary business activities in Saudi Arabia may not need a separate sector approval. However, regulated fields usually require additional licensing.These may include:

A restaurant, for example, may need municipal, food-safety and location approvals. A training centre may require approval from the relevant education or training authority. A financial service may need authorisation from the Saudi Central Bank or the Capital Market Authority.

Adding an activity to the commercial registration alone does not give the company permission to begin regulated operations.

 

Can a company remove an activity from its CR?

Yes. A company can remove an activity that it no longer provides.

However, it should first close or cancel any licences connected to that activity. The company may also need to update contracts, municipality records, tax registrations, insurance coverage and labour classifications.Removing unused activities can keep the company’s records accurate and reduce the risk of unnecessary compliance obligations.

 

How long does a business-activity amendment take?

A straightforward digital amendment may be completed quickly when the CR is active, and no external approval is required. A regulated activity can take longer because the company must satisfy the relevant authority’s requirements.

MISA’s published guidance states an estimated processing period of five working days for an economic-activity amendment. However, the overall process may take longer when documents, regulatory approvals, or corporate amendments are involved.
